Terms of Use - Next Time Notes

Welcome to Next Time Notes. These Terms of Use ("Terms") govern your access to and use of our mobile application ("App"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

1. Acceptance of Terms

By accessing or using Next Time Notes, you agree to comply with and be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing the App.

2. Description of Service

Next Time Notes is a mobile application that allows you to:

Save and organize places you want to visit or remember
Add notes, photos, and tags to places
Receive location-based notifications when you're near saved places
Track visits and maintain a history of places you've been
Sync your data across devices using iCloud (if enabled)

3. User Accounts and Eligibility

3.1 Age Requirement

You must be at least 13 years old to use this App. If you are under 18, you represent that you have your parent's or guardian's permission to use the App.

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of any account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Conduct

You agree not to:

Use the App for any illegal purpose or in violation of any local, state, national, or international law
Upload, post, or transmit any content that is harmful, offensive, defamatory, or violates any third-party rights
Attempt to gain unauthorized access to the App or its related systems or networks
Interfere with or disrupt the App or servers or networks connected to the App
Use any automated system, including "robots," "spiders," or "offline readers," to access the App
Reverse engineer, decompile, or disassemble any portion of the App
Remove any copyright, trademark, or other proprietary notices from the App

5. Premium Subscription

5.1 Subscription Terms

Next Time Notes offers a premium subscription that provides unlimited places and additional features. Subscription terms are as follows:

Subscriptions are billed through Apple's App Store
Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
Your account will be charged for renewal within 24 hours prior to the end of the current period
You can manage your subscription and turn off auto-renewal in your Apple Account Settings

5.2 Free Trial

If offered, any free trial period will be specified at the time of subscription. At the end of the free trial period, your subscription will automatically convert to a paid subscription unless cancelled before the trial ends.

5.3 Cancellation and Refunds

You may cancel your subscription at any time through your Apple Account Settings. Cancellation will take effect at the end of the current billing period. Refunds are handled by Apple in accordance with their refund policy.

6. Intellectual Property Rights

6.1 Our Rights

The App, including its original content, features, and functionality, is owned by Next Time Notes and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Content

You retain ownership of any content you create, upload, or store using the App (including places, notes, and photos). By using the App, you grant us a limited, non-exclusive, royalty-free license to use, store, and process your content solely for the purpose of providing and improving the App's services.

6.3 Third-Party Content

The App may include content from third parties, such as place information from Google Places API. Such content is subject to the respective third party's terms of service and privacy policies.

7. Location Services

The App uses location services to provide proximity-based notifications. By using location features, you agree to:

Grant the App permission to access your device's location
Understand that location data is used locally on your device and for region monitoring (geofencing)
Acknowledge that location services may impact battery life
Accept that location accuracy depends on your device's capabilities and settings

You can disable location services at any time through your device settings, but this will limit the App's functionality.

8. Data and Privacy

Your use of the App is also governed by our Privacy Policy. Please review our Privacy Policy, which explains how we collect, use, and protect your information. By using the App, you consent to the collection and use of your information as described in the Privacy Policy.

9. Disclaimers and Limitations of Liability

9.1 Service Availability

The App is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the App will be available at all times or that it will be error-free.

9.2 Location Accuracy

We do not guarantee the accuracy of location data or the reliability of location-based notifications. Location services depend on your device, network conditions, and other factors beyond our control.

9.3 Limitation of Liability

To the maximum extent permitted by law, Next Time Notes shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the App.

10. Indemnification

You agree to indemnify, defend, and hold harmless Next Time Notes and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the App or violation of these Terms.

11. Termination

We reserve the right to terminate or suspend your access to the App at any time, with or without cause or notice, for any reason, including if you breach these Terms. Upon termination, your right to use the App will immediately cease. You may also terminate your use of the App at any time by deleting the App from your device.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the App after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you should discontinue use of the App.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the App shall be resolved in the courts of the United States.

14. Apple-Specific Terms

If you downloaded the App from the Apple App Store, the following additional terms apply:

These Terms are between you and Next Time Notes, not Apple
Apple is not responsible for the App or its content
Apple has no obligation to provide support or maintenance for the App
In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if applicable)
Apple is not responsible for addressing any claims relating to the App or your use of it
Apple is a third-party beneficiary of these Terms and has the right to enforce them

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
